The Management Board of Ten Square Games S.A. (the “Company”) informs that on February 28, 2024:
– Due to the change in ownership of own shares, the Company submitted a notification to the Polish Financial Supervision Authority about the change in the threshold specified in Art. 69 section 1 point 1 of the Act of July 29, 2005 on public offering and conditions for introducing financial instruments to organized trading and on public companies;
– the Company received notifications regarding changes in the ownership of the Company’s shares submitted by: the Shareholders’ Arrangement and the MJP Fundacja Rodzinna w organizacji.
According to the notifications:
- During buyback of its own shares, the Company purchased 954,166 own shares constituting 13.01% of the share capital of the Company and the total number of votes at the general meeting of the Company and after settling the transaction it holds a total of 992,702 own shares constituting 13.53% of the share capital of the Company and the total number of votes at the Company’s general meeting;
- The Shareholders’ Arrangement sold, as part of the purchase of the Company’s own shares, 439,296 shares of the Company, constituting 5.99% of the share capital of the Company and the total number of votes at the general meeting of the Company, and after settling the transaction, it holds a total of 1,996,730 shares of the Company, which in total constitute 27.22%. share in the Company’s share capital and the total number of votes at the Company’s general meeting;
- MJP Fundacja Rodzinna w organizacji sold, as part of the buyback of the Company’s own shares, 276,517 shares of the Company, constituting 3.77% of the share capital of the Company and the total number of votes at the general meeting of the Company, and after settling the transaction, it holds a total of 1,046,424 shares of the Company, which in constitute 14.27% share in the Company’s share capital and the number of votes at the Company’s general meeting.
