Statement by a candidate for a Member of the Supervisory Board of Ten Square Games S.A.

Content of the report:
The Management Board of Ten Square Games Spółka Akcyjna with its registered office in Wrocław (“the Company”, “the Issuer”), in reference to the current report of 19 November 2020 concerning the announcement of convening an Extraordinary General Meeting of Shareholders of the Company, at which, among other things, a resolution on appointing Arkadiusz Pernal (“the Candidate”) to the Supervisory Board of the Company is to be put to a vote, informs that on 1 December 2020 the Management Board received a notification of the Candidate’s resignation from his function on the boards of the following subsidiaries of the Issuer: Play Cool Zombie Sport Games Sp. z o.o., Tiny Dragon Adventure Games Sp. o.o. and Fat Lion Games Sp. z o.o. The submitted resignations come into effect on 31 December 2020.
Submitting the resignation by the Candidate was necessary under Article 387 of the Commercial Companies Code, which prohibits combining the functions in the Supervisory Board of the Company with those in the management boards of subsidiaries.
At the same time, the Issuer’s Management Board informs that the Candidate submitted declarations of consent to the candidacy and stated that there were no legal obstacles to his appointment to the Supervisory Board of the Company on 1 January 2021.
