The Management Board (“the Management Board“) of Ten Square Games S.A., with its registered office in Wrocław (“the Issuer“) announces that on July 5, 2021, in performance of the provisions of the agreement obliging the Sellers to the sale of an interest in Rortos S.r.l., with its registered office in Verona (“Rortos“), concluded on June 30, 2021, the Issuer entered into a dispositive agreement for the sale of a shareholding in Rortos (the“Agreement“), as the buyer, with the existing shareholders Antonio Farina and Roberto Simonetti as the sellers (jointly hereinafter referred to as “the Sellers“), relating to the acquisition by the Issuer of a shareholding in Rortos, representing 100% of the share capital and conferring the right to 100% of the votes at the shareholders meeting of Rortos (“the Transaction“). Thus, in execution of the provisions of the Agreement, on July 5, 2021, the transaction was completed.
The transaction was conducted on the pricing terms set out in current report no. 20/2021 dated July 1, 2021.
