Appointing members of the Management Board of Ten Square Games S.A. for the new term of office
Legal basis: Article 56.1.2 of the Act on Public Offering – current and periodical information
Content of the report:
Management Board of Ten Square Games S.A. (the “Company”) informs that on May 19th, 2020, the Supervisory Board of the Company adopted resolutions on the appointment to the Management Board for a new term:
Maciej Żużałek – President of the Management Board
Arkadiusz Pernal – Vice-President of the Management Board
Magdalena Jurewicz – Member of the Management Board.
The new, common, three-year term of the Management Board will begin after the Ordinary General Meeting of Shareholders of the Company approving the financial statements of the Company for 2019, which is scheduled for May 20th, 2020. According to the submitted statements,
Maciej Zużałek:
– is not listed in the Register of Insolvent Debtors, maintained pursuant to the Act on the National Court Register;
– as at the date of appointment he is a Member of the Management Board in companies: Nova Medicina sp. z o.o. with its registered office in Warsaw and Verdeat sp. z o.o. with its registered office in Suchy Las and sits on Supervisory Boards of the following Companies: Smyk Holding S.A. with its registered office in Warsaw, Dr Gerard sp. z o.o. with its registered office in Międzyrzecze Podlaskie, Neo Hospital sp. z o.o. with its registered office in Kraków, Neo Robotics One sp. z o.o. with its registered office in Kraków; and he is a limited partner in Bridgepoint sp. z o.o. sp.k. with its registered office in Warsaw. Nowy Kapitał Ziemski sp. z o.o. sp.k. with its registered office in Warsaw, Nova Medicina sp. z o.o. One sp.k. with its registered office in Warsaw, Nova Medicina sp. z o.o. One sp.k. Invest sp.k. with its registered office in Warsaw, Neo Hospital sp. z o.o. One sp.k. with its registered office in Kraków, Verdeat sp. z o.o. sp.k. with its registered office in Suchy Las, none of which is competitive to the Company’s business;
– does not participate in other Companies that are competitive as a partner in a civil partnership, partnership, capital company or other competitive legal person as a member of its bodies. In accordance with the submitted statements,
Arkadiusz Pernal:
– is not listed in the Register of Insolvent Debtors, maintained pursuant to the Act on the National Court Register;
– does not conduct any activity outside of Ten Square Games S.A. that would be competitive to the Company’s activity;
– does not participate in any competitive company or partnership as a partner in a civil law partnership, partnership or as a member of a body of a capital company or in any other competitive legal person as a member of a body. In accordance with the submitted statements,
Magdalena Jurewicz:
– is not listed in the Register of Insolvent Debtors, maintained pursuant to the Act on the National Court Register;
– does not conduct any activity outside of Ten Square Games S.A. that would be competitive to the Company’s activity;
– does not participate in a competitive company as a partner in a civil law partnership, partnership or as a member of a body of a capital company or other competitive legal entity as a member of a body. Information on the education, qualifications and history of employment of the members of the Management Board members is presented in the attachment to this report.
