The Management Board of Ten Square Games S.A. (“Company”) informs that on May 23, 2024, the Ordinary General Meeting of Shareholders of the Company adopted resolutions regarding the appointment of the following members of the Supervisory Board of the Company for a new term of office:
Mr. Marcin Biłos – Member of the Supervisory Board
Mr. Maciej Marszałek – Member of the Supervisory Board
Mr. Rafał Olesiński – President of the Supervisory Board
Mr. Arkadiusz Pernal – Member of the Supervisory Board
Mr. Wiktor Schmidt – Member of the Supervisory Board
Pani Kingi Stanisławskiej – Członek Rady Nadzorczej.
The resolutions on the appointment of Members of the Supervisory Board for a new term of office entered into force upon their adoption.
All the above-mentioned persons served on the Company’s Supervisory Board of the previous term.
According to the statements made, Mr. Marcin Biłos:
- is not listed in the Register of Insolvent Debtors, maintained pursuant to the Act on the National Court Register;
- conducts other business activities outside Ten Square Games S.A., i.e. he is a Management Board Member and Financial Director in Osadkowski Sp. z o.o., which is not competitive towards the Company
- does not participate in a competitive company as a partner in a civil partnership, partnership or as a member of a body of a capital company or other competitive legal person as a member of its body.
According to the statements made, Pan Maciej Marszałek:
- is not listed in the Register of Insolvent Debtors, maintained pursuant to the Act on the National Cour Register;
- does not conduct other business activities outside Ten Square Games S.A., which would be competitive towards Company;
- does not participate in a competitive company as a partner in a civil partnership, partnership or as a member of a body of a capital company or other competitive legal person as a member of its body.
According to the statements made, Mr. Rafał Olesiński:
- is not listed in the Register of Insolvent Debtors, maintained pursuant to the Act on the National Cour Register;
- conducts other business activities outside Ten Square Games S.A., i.e. he is: a lawyer, running a business, general partner of Olesiński i Wspólnicy Sp.k., shareholder and President of the Management Board of Saurus Grow Sp. o. o., partner of O_W Invest Sp. z o. o. and indirect subsidiaries of the above-mentioned companies, partner of Fides Projekt Sp. z o. o., Lafargo R.Olesiński Sp.j., Swimstone Sp. z o. o. and the Chairman of the Supervisory Board of Izoblok SA with its registered office in Chorzów, none of which is an activity competitive to the Company’s activity;
- does not participate in a competitive company as a partner in a civil partnership, partnership or as a member of a body of a capital company or other competitive legal person as a member of its body.
According to the statements made, Mr. Arkadiusz Pernal:
- is not listed in the Register of Insolvent Debtors, maintained pursuant to the Act on the National Cour Register;
- does not conduct other business activities outside Ten Square Games S.A.;
- does not participate in a competitive company as a partner in a civil partnership, partnership or as a member of a body of a capital company or other competitive legal person as a member of its body.
According to the statements made, Mr. Wiktor Schmidt:
- is not listed in the Register of Insolvent Debtors, maintained pursuant to the Act on the National Cour Register;
- conducts other activities outside Ten Square Games S.A. i.e. serves as Executive Chairman in Netguru S.A., which is not a competitive activity towards the Company’s activities;
- does not participate in a competitive company as a partner in a civil partnership, partnership or as a member of a body of a capital company or other competitive legal person as a member of its body.
According to the statements made, Ms. Kinga Stanisławska:
- is not listed in the Register of Insolvent Debtors, maintained pursuant to the Act on the National Cour Register;
- does not conduct other business activities outside Ten Square Games S.A., which would be competitive towards Company;
- does not participate in a competitive company as a partner in a civil partnership, partnership or as a member of a body of a capital company or other competitive legal person as a member of its body.
