Article 56 (1) (2) of the Public Offer of Financial Instruments Act – current and regular information

Report:

The Ten Square Games S.A. seated in Wrocław (“Company,” “Issuer”) management board, in relation to current report 31/2022 dated June 13th, 2022, informs that as a part of the first tranche series C share emission,  33,039 series C shares with a nominal value of 0.10 PLN were subscribed to and paid for, with a total value of PLN 3,309.90, in relation to which the Company’s Management Board has made a statement in the form of a notary act dated July 21st, 2022, in which:

• It has stated that in the process of increasing share capital, share capital to the amount of PLN 3,309.90 (in words: three thousand three hundred and three zloty and ninety grosz) was acquired, and as a result, the Company’s share capital was increased by the amount of PLN 3,309.90 (in words: three thousand three hundred and three zloty and ninety grosz), to the total of PLN 733,482.20 (in words: seven hundred thirty-three thousand four hundred and eighty-two zloty and twenty grosz), which occurred through taking up 33,039 (in words: thirty-three thousand thirty-nine) ordinary series C shares, with a nominal value of PLN 0.10 (in words: ten groszy) each;
• Established the share capital in the Company’s Articles of Association to be PLN 733,482.20 (in words: seven hundred thirty-three thousand four hundred and eighty-two zloty and twenty grosz), making the following change to §6 of the Articles of Association:

“The share capital of the Company amounts to PLN 733,482,20 in (in words: seven hundred thirty-three thousand four hundred and eighty-two zloty and twenty grosz) and is divided into:

1) 7,225,000 (seven million two hundred and twenty-five thousand) ordinary A series bearer

shares with a nominal value of 0.10 PLN (ten grosz) each;

2) 76.783 (seventy-six thousand seven hundred eighty-three) ordinary series B bearer shares

with a nominal value of PLN 0.10 (ten grosz) each.

3) 33,039 (thirty-three thousand thirty-nine) ordinary series C shares with a nominal value of PLN 0.10 (ten grosz) each.”

Changes to the Aricles of Association need to be registered by the appropriate court.
